By checking this box (equal to signature), I acknowledge that I have read, understood, and agree to be bound by this Mentoring Agreement (the “Agreement”) which is entered into today by and between Eugenia Oganova of Pravda, Inc. (the “Mentor” or “Company”) and “YOU” (or “Client”) for the purpose of Company providing professional development and mentoring services to YOU in an effort to achieve your goals.  The parties together are hereinafter known as the “Parties”. In consideration of the mutual covenants and agreements contained herein, the Parties agree as follows: 

1. DESCRIPTION: Mentoring is a partnership (defined as an alliance, not a legal business partnership) between the Mentor and the Client in a thought-provoking and creative process that inspires the client to maximize personal and professional potential. It is designed to facilitate the creation/development of personal, professional or business clarity and goals, and to develop and carry out a strategy/plan for achieving those clarity and goals.
2. The Client understands that in order to enhance the mentoring relationship, the Client agrees to communicate honestly, be open to feedback and assistance and to create the time and energy to participate fully in the program.
3. AGREE TO BE BOUND. By signing the Agreement and submitting payment, YOU acknowledge that you have read, understand, and agree to be bound by the terms of this Agreement, which includes being coachable and receptive, resourceful, keeping financial commitments, completing the assignments, being on time for sessions.
4. AUTHORIZATION OF PAYMENT. By signing below, you authorize Company to charge your credit card. You are responsible for payment of the entire fee amount, regardless of whether you attend all calls, and regardless of whether you have selected a pay-in-full or monthly payment plan. By signing the agreement, you agree that, if, for any reason, you choose to cancel any part of the Services (the “Commitment Period”), you are obligated to pay or continue to pay whatever balance is due. To further clarify, no refunds will be issued, and all scheduled payments must be paid on a timely basis.
5. This Agreement starts today and ends 16 weeks from today with the completion of the Services (the “Term”). All Services must be performed during the Term, or they are lost. There are no roll-overs. Services may be extended beyond the Term only with the express written consent of Mentor.
6. PROGRAM STRUCTURE. Group mentoring includes calls each week via zoom (16 in total, if agreed, starting with the private bonus call). It is your responsibility to schedule and calendar/track all the calls.
7. FEE: The investment for Mentoring is: $18,000 American dollars (or payment plan of $4,500 x 4). If you are on a payment plan, your credit card will be held on file for recurring billing each month. Mentoring and/or coaching fees are commonly tax deductible as either a consulting or education expense on your Schedule C (please consult with your tax advisor).
8. The Company may modify this Agreement, in writing, with mutual consent to accommodate changes agreed by both parties.
9. Company is committed to providing you with a positive and productive experience. By checking the box above, you agree that the Company, at its sole discretion, may limit, suspend, or terminate your right to participate in the program without refund and/or forgiveness of any remaining monthly payments if you become disruptive or difficult to work with, violate the terms or fail to follow program guidelines.
10. For private Mentoring Sessions, Mentor has a 48-hour cancelation policy, which means Client may cancel or reschedule, but Client MUST notify Mentor no later than 48 hours prior to scheduled consultation. In such event, Mentor will attempt in good faith to reschedule the missed meeting. For group Mentoring Sessions, Mentor cannot reschedule but replay will be provided to you. Client also understands that any/all scheduled mentoring calls, program add-ons, VIP days, bonuses or other benefits expire at the end of the Commitment Period and will not be carried over. It is important to note that your benefits MUST be used during the Commitment Period.
11. Mentor will respect your privacy and you must respect the privacy of others. You agree not to violate the publicity or privacy rights of any third party, including the Mentor. Further, Mentor respects your confidential and proprietary information, which is any information you specifically state is “Confidential.”  This Agreement is considered a mutual non-disclosure agreement.
12. NON-DISCLOSURE OF COMPANY MATERIALS. Material given to Client in the course of Client’s work with the Company is proprietary, copyrighted, and developed specifically for Company. Client agrees that such proprietary material is solely for Client’s own personal use. Any disclosure to a third party without prior verbal or written consent is prohibited unless discussed and agreed upon. Company’s program is copyrighted and the original materials that have been provided to the Client are for Client’s individual use only and are granted as a single user license. Client is not authorized to use any of Company’s intellectual property for Client’s business purposes. All intellectual property, including Company’s copyrighted program and/or course materials, shall remain the sole property of the Company. No license to sell or distribute Company’s materials is granted or implied. Further, by signing below, Client agrees that if Client violates, or displays any likelihood of violating, any of Client’s agreements contained in this paragraph, Company will be entitled to injunctive relief to prohibit any such violations and to protect against the harm of such violations.
13. CLIENT RESPONSIBILITY, NO GUARANTEES. Client accepts and agrees that Client is Responsible for taking ownership for its progress and results. Company will be 100% committed to the mentoring relationship and will help and guide Client with strategy, energetics and personal mentoring to support to reach Client’s goals; however, Client’s participation and follow through is the one vital element to the Program’s success that relies solely on Client. Company has made every effort to accurately represent the benefits you will receive through mentoring. That being said, there are no guarantees regarding any result or benefit to be received by. The testimonials and examples used are not intended to represent or guarantee that anyone will achieve the same or similar results. Each individual’s success depends on many factors, including but not limited to, her background, dedication, starting point in her business, desire and motivation. By signing below, Client acknowledges that there is an inherent risk of loss of capital and there is no guarantee that Client will reach its goals as a result of participation in the Program and Company’s comments about the outcome are expressions of opinion only. Company makes no guarantee other than that the Services offered in this Program shall be provided to Client in accordance with the terms of this Agreement.
14. Company is a Mentor and not qualified to provide legal, tax, accounting, financial wealth management, medical or therapeutic advice. It is your responsibility to secure assistance from the appropriately qualified professional if such advice is needed.
15. GOVERNING LAW. This Agreement, performance hereunder, shall be governed by the laws of State of Maine.
16. FORCE MAJEURE. Except for an obligation to pay fees, neither party shall be liable for failure to perform any of its obligations under this Agreement during any period in which such party cannot perform due to matters beyond their control, including, but not limited to, fire, flood, or other natural disaster, war embargo, or strike, riot, cyber-attack, sickness, provided that the delayed immediately notifies the other party of such delay. The terms of this clause shall not exempt the parties from their obligations hereunder, but merely suspend their duty to perform, until the force majeure condition ceases to exist.
17. NO PARTNERSHIP. Nothing in this Agreement is meant to suggest a partnership, venture alliance, security interest, certification or employer relationship.
18. The waiver or failure of Company to exercise any obligation under this Agreement shall not be deemed a waiver of any further right.
19. If any provision of this Agreement is invalid, illegal, or unenforceable under any applicable statute or rule of law, it is to that extent to be deemed modified in order to comply with applicable law, and the remaining provisions shall not be affected in any way.
20. ENTIRE AGREEMENT. This Agreement is the entire agreement and understanding between the Parties and supersedes any prior agreement or understanding whether oral or written relating to this Agreement.
